Terms of Service

These Terms of Service (“Terms”) govern your access to and use of TixTrackr, available at tixtrackr.app (the “Service”). By creating an account, purchasing a subscription, starting a trial, or using the Service, you agree to these Terms.

If you do not agree with these Terms, you must not use the Service.

1. Who we are

TixTrackr is a software tool for ticket resellers. It helps users track ticket purchases and sales, calculate estimated profit after marketplace fees, manage their portfolio, and access related ticket-reselling tools and insights.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use the Service. By using TixTrackr, you confirm that you meet these requirements.

3. What TixTrackr does

TixTrackr is a tracking, calculation, and intelligence tool for ticket reselling activity. Depending on your plan and the features available at the time, the Service may help you:

  • track ticket purchases and sales;
  • calculate profit, loss, marketplace fees, and return on investment;
  • organise your ticket portfolio;
  • monitor or review secondary-market information where available;
  • access tools, dashboards, alerts, or community resources related to ticket reselling.

TixTrackr does not buy, sell, list, transfer, hold, guarantee, or deliver tickets on your behalf.

4. What TixTrackr is not

TixTrackr is not a ticket marketplace, broker, payment intermediary, financial advisor, legal advisor, investment advisor, or tax advisor.

Any figures, estimates, prices, fees, resale values, profit calculations, or market information shown in the Service are provided for informational purposes only. They may be incomplete, delayed, inaccurate, or based on assumptions.

We do not guarantee:

  • that you will make a profit;
  • that any ticket will sell;
  • that any resale will be legal or permitted;
  • that marketplace fees or prices will be accurate;
  • that monitored data will always be available, complete, or up to date.

You are solely responsible for your own decisions.

5. Ticket resale is your responsibility

Ticket resale laws, platform rules, event terms, venue terms, and local regulations vary by country, region, marketplace, event, and ticket type. Some tickets may not be resold. Some events may restrict resale price, transferability, listing methods, or marketplace use.

By using TixTrackr, you agree that you are fully responsible for:

  • checking whether resale is legal and permitted;
  • complying with all applicable laws and regulations;
  • complying with the terms of each event, venue, organiser, ticket issuer, and marketplace;
  • paying any applicable taxes;
  • handling your own purchases, sales, transfers, refunds, disputes, and customer obligations.

TixTrackr is a software tool only and is not responsible for your ticket-reselling activity.

6. Accounts and access

Authentication, membership, and payment access may be handled through Whop or other third-party providers. You are responsible for keeping your account secure and for all activity that occurs under your account.

You must not:

  • share your account with other people;
  • sell, rent, sublicense, or transfer your access without permission;
  • attempt to bypass subscription controls;
  • use another person’s account without authorisation.

If you believe your account has been compromised, contact us immediately.

7. Subscriptions, trials, and billing

Paid plans, trials, memberships, and renewals are processed through Whop or another payment provider shown at checkout. By subscribing, you agree to the price, billing period, renewal terms, and cancellation rules shown at the time of purchase.

Free trials provide access for the trial period stated at checkout. Unless cancelled before the trial ends, your plan may convert into a paid subscription. Subscriptions renew automatically unless cancelled before the renewal date.

You can cancel your subscription through the platform used to purchase it. After cancellation, access normally continues until the end of the current paid billing period. Except where required by law, payments are non-refundable.

8. Founder pricing and special offers

Founder pricing, discounts, lifetime offers, early-access offers, or promotional pricing may be subject to specific conditions. Unless stated otherwise, Founder pricing remains valid only while your subscription stays continuously active.

If you cancel, fail to pay, lose access, or rejoin later, the current price at that time may apply. We may modify, limit, or end special offers at any time, without affecting access already paid for.

9. EU/EEA consumer withdrawal rights

If you are an EU/EEA consumer, you may have a legal right to withdraw from an online purchase within 14 days. However, where legally permitted, by starting a subscription, trial, or digital service immediately, you expressly request immediate access to the Service and acknowledge that your right of withdrawal may be lost or limited once access has started.

Nothing in these Terms limits any mandatory consumer rights that cannot be excluded by law.

10. Acceptable use

You agree not to use the Service to:

  • break any law or regulation;
  • violate the rights of another person or business;
  • upload unlawful, harmful, misleading, or abusive content;
  • disrupt, overload, attack, or interfere with the Service;
  • reverse-engineer, copy, scrape, resell, or exploit the Service without permission;
  • attempt to gain unauthorised access to systems, accounts, databases, or data;
  • use the Service in a way that could damage TixTrackr, other users, marketplaces, event organisers, or third parties.

We may suspend or terminate access if we believe you have violated these Terms or created risk for the Service or other users.

11. Your content and trade data

You retain ownership of the trade information, notes, events, prices, marketplace data, and other content that you enter into TixTrackr. You grant us the limited right to process, store, display, and use that content only as necessary to provide, maintain, secure, and improve the Service.

You are responsible for ensuring that the information you enter is accurate and lawful.

12. Third-party services

TixTrackr may rely on third-party services such as Whop, Supabase, Vercel, Discord, and other providers for authentication, payments, hosting, database storage, community access, or related functionality. Your use of those third-party services may be subject to their own terms and privacy policies.

We are not responsible for third-party platforms, marketplaces, payment providers, communities, websites, or services that we do not control.

13. No affiliation

TixTrackr is an independent software tool. Unless expressly stated, TixTrackr is not affiliated with, endorsed by, sponsored by, or officially connected to any ticket marketplace, event organiser, venue, artist, sports club, ticket issuer, resale platform, or third-party brand.

All third-party names, trademarks, and logos belong to their respective owners.

14. Intellectual property

The Service, including its software, design, branding, interface, dashboards, text, graphics, code, systems, and related materials, is owned by TixTrackr or its licensors and is protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service while your account is active and in accordance with these Terms. You may not copy, modify, distribute, sell, lease, sublicense, reverse-engineer, or create derivative works from the Service without our prior written permission.

15. Availability and changes to the Service

We aim to keep TixTrackr available and reliable, but we do not guarantee uninterrupted access. The Service may be updated, changed, paused, limited, or discontinued at any time. Features may be added, removed, modified, or made available only to certain plans.

We are not liable for downtime, errors, delays, data inaccuracies, feature changes, or temporary unavailability.

16. Disclaimers

The Service is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • the Service will always work without interruption;
  • the data shown will always be correct or complete;
  • calculations will always reflect final marketplace fees or taxes;
  • the Service will meet your expectations;
  • your use of the Service will result in profit.

17. Limitation of liability

To the maximum extent permitted by law, TixTrackr shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost opportunities, business interruption, or losses arising from ticket resale decisions.

Our total liability for any claim relating to the Service is limited to the amount you paid to TixTrackr in the 12 months before the claim arose. Nothing in these Terms limits liability where it cannot legally be limited.

18. Suspension and termination

We may suspend or terminate your access if:

  • you breach these Terms;
  • payment fails;
  • we detect abuse, fraud, or misuse;
  • your use creates legal, security, or operational risk;
  • we are required to do so by law or by a third-party provider.

You may stop using the Service at any time. Termination does not remove obligations that should reasonably survive, including payment obligations, intellectual property protections, disclaimers, and limitations of liability.

19. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we may notify you through the Service, by email, or through the platform where you purchased access. Continued use of the Service after changes become effective means you accept the updated Terms.

20. Governing law

These Terms are governed by the laws of Spain, unless mandatory consumer protection laws provide otherwise. Any disputes shall be subject to the competent courts of Spain, unless mandatory law gives you the right to bring a claim elsewhere.
